Refund Policy

1. Overview

At SYLS PARTY PLACE ("Company," "we," "us," or "our"), located at 3805 Sherwood Ln Apt 38, Houston, TX 77092, United States of America, we are committed to delivering high-quality AI, automation, and technology consulting services that meet or exceed our clients' expectations. This Refund Policy outlines the terms and conditions under which refunds may be issued for our Services.

This Refund Policy is part of and subject to our Terms of Service. By engaging our Services, you acknowledge that you have read, understood, and agree to this Refund Policy. In the event of any conflict between this Refund Policy and a specific Statement of Work ("SOW") or service agreement, the provisions of the SOW or service agreement shall prevail with respect to the specific project it governs.

2. Nature of Services

Our Services involve custom AI development, automation solutions, predictive analytics, and technology consulting. Due to the highly specialized and customized nature of these Services, each project involves significant investment of time, expertise, and resources from the initial consultation and planning stages onward. Clients acknowledge that our Services are tailored to their specific requirements and are not mass-produced or off-the-shelf products.

Before any project commences, we provide detailed proposals, scope definitions, and timelines for client review and approval. Clients are encouraged to thoroughly review all project documentation and ask questions before agreeing to proceed. Once a Statement of Work is executed and work begins, the investment of resources by both parties is substantial.

3. Deposit and Initial Payment

Unless otherwise specified in the applicable SOW or service agreement, an initial deposit of 50% of the total project cost is required before work commences. This deposit secures your project timeline, allocates our team's resources, and covers initial planning, research, architecture design, and preliminary development activities.

The initial deposit is non-refundable once work has commenced on the project. This includes any period during which our team has begun planning, research, design, development, or any other activities related to the contracted Services. The non-refundable nature of the deposit reflects the value of the intellectual effort, time, and opportunity cost invested from the moment work begins.

4. Refund Eligibility

Refunds may be considered under the following circumstances:

  • Pre-Commencement Cancellation: If you cancel a project before any work has commenced (prior to the start date specified in the SOW), you may be eligible for a full refund of the deposit, minus a 10% administrative processing fee. The cancellation must be submitted in writing to our official contact channels.
  • Material Breach by Company: If SYLS PARTY PLACE materially breaches the terms of the SOW or service agreement and fails to cure such breach within thirty (30) days of receiving written notice from the client, the client may be eligible for a proportional refund of fees paid for undelivered Services. A material breach includes, but is not limited to, complete failure to deliver agreed-upon deliverables within a reasonable timeframe beyond the agreed deadline.
  • Duplicate or Erroneous Payments: If you are charged in error or make a duplicate payment, we will issue a full refund for the erroneous or duplicate amount promptly upon verification.
  • Service Not Provided: If we are unable to provide the contracted Services due to circumstances within our control and no suitable alternative arrangement can be agreed upon, you may be eligible for a refund of fees paid for the undelivered portion of the Services.

5. Non-Refundable Circumstances

Refunds will generally not be issued in the following circumstances:

  • Change of Mind: If you decide you no longer want or need the contracted Services after work has commenced, the deposit and any fees for completed work are non-refundable.
  • Scope Changes: If changes to the project scope requested by the client result in additional costs, and the client subsequently decides not to proceed, fees for work already completed under the original and modified scope are non-refundable.
  • Client Delays: If project delays are caused by the client's failure to provide necessary materials, feedback, approvals, access, or information in a timely manner, fees for work completed and time reserved are non-refundable.
  • Dissatisfaction After Approval: If deliverables have been reviewed and approved by the client at milestone checkpoints as defined in the SOW, subsequent dissatisfaction with approved work does not constitute grounds for a refund.
  • AI and Machine Learning Outcomes: Due to the inherent nature of AI and machine learning technologies, specific performance metrics, accuracy levels, or business outcomes cannot be guaranteed. If delivered AI models meet the technical specifications outlined in the SOW but do not achieve desired business results, this does not constitute grounds for a refund.
  • Third-Party Costs: Any third-party costs incurred on the client's behalf (such as API subscriptions, hosting services, software licenses, domain registrations, or hardware purchases) are non-refundable through SYLS PARTY PLACE. Clients should contact the respective third-party providers regarding their refund policies.
  • Completed Services: Once Services have been fully delivered and the final deliverables have been provided to the client, no refunds will be issued regardless of subsequent changes in the client's business needs or circumstances.

6. Refund Request Process

To request a refund, please follow these steps:

  • Step 1 — Written Request: Submit a detailed written refund request via email to hello@sylspartyplace.com or support@sylspartyplace.com. The request must include your full name, company name, project reference number or SOW identifier, the amount requested for refund, and a detailed explanation of the reason for the refund request.
  • Step 2 — Review Period: Our team will review your request within ten (10) business days of receipt. During this period, we may contact you for additional information or clarification. We will conduct an internal review of the project status, deliverables, and the circumstances giving rise to the refund request.
  • Step 3 — Determination: We will notify you of our decision in writing. If your refund request is approved, we will specify the refund amount and the expected processing timeline. If your request is denied, we will provide a detailed explanation of the reasons for denial.
  • Step 4 — Processing: Approved refunds will be processed within fifteen (15) business days of the approval notification. Refunds will be issued using the same payment method as the original transaction, unless otherwise agreed upon in writing. Please note that the time it takes for the refund to appear in your account may vary depending on your financial institution.

7. Partial Refunds and Credits

In cases where a full refund is not warranted but partial relief is appropriate, we may offer one or more of the following at our discretion: (a) a partial refund proportional to the undelivered portion of Services; (b) service credits that can be applied toward future projects with SYLS PARTY PLACE; (c) additional Services or revisions at no extra cost to address specific concerns; (d) a combination of the above remedies.

The determination of partial refund amounts will take into account the proportion of work completed, resources expended, time invested, third-party costs incurred, and any other relevant factors. We will communicate the calculation methodology transparently to the client.

8. Dispute Resolution

If you are dissatisfied with the outcome of your refund request, you may escalate the matter through the dispute resolution procedures outlined in our Terms of Service. We encourage clients to first attempt to resolve any disputes through direct communication with our management team before pursuing formal dispute resolution mechanisms.

All disputes related to refunds shall be governed by the laws of the State of Texas, United States of America, and shall be resolved in accordance with the arbitration provisions set forth in our Terms of Service.

9. Subscription and Recurring Services

For clients enrolled in subscription-based or recurring services (such as ongoing AI maintenance, monitoring, or support plans), the following additional terms apply: (a) cancellation requests must be submitted at least thirty (30) days before the next billing cycle; (b) fees already charged for the current billing period are non-refundable; (c) upon cancellation, services will continue until the end of the current paid period; (d) any unused credits or prepaid amounts for future periods may be refundable at our discretion.

10. Modifications to This Policy

We reserve the right to modify this Refund Policy at any time. Changes will be effective immediately upon posting the revised policy on our website. The refund terms applicable to your project will be those in effect at the time of your service agreement execution, unless a newer version provides more favorable terms to the client.
